Terms of Service

1. Acceptance of Terms

By purchasing a code verification audit from ByHumans™ ("Service"), operated by MKG Labs Ltd ("Company", "we", "us"), you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you are prohibited from utilizing our auditing services.

2. Description of Service

ByHumans™ provides manual, human-led code verification and architectural audits tailored for AI-generated codebases. We do not provide automated scanning tools or ongoing software subscriptions. Our service consists of a point-in-time review conducted by senior engineers to identify logic flaws, patch security vulnerabilities, and compile a final structural report based on the specific repository size submitted during checkout.

3. Legal Precedence & Confidentiality (NDA)

We mandate that legal certainty precedes technical access. Upon successful payment, a Mutual Non-Disclosure Agreement (NDA) will be issued to you via DocuSign. Our principal engineers will not initialize the ephemeral enclave, access your repository, or commence the audit until this NDA is fully executed by both parties. This ensures absolute legal protection of your intellectual property.

4. Intellectual Property Rights

You retain 100% ownership of your source code, architecture, and proprietary logic at all times. By submitting your code for an audit, you grant us a temporary, strictly limited license solely for the purpose of reading, analyzing, and providing feedback on the code within our isolated environments. Upon delivery of the final report, your code is permanently purged from our infrastructure.

5. Limitation of Liability

Our audits represent a rigorous, point-in-time architectural and security assessment based on current industry standards. However, software security is dynamic. ByHumans™ does not provide an absolute guarantee or warranty against future zero-day exploits, unknown vulnerabilities, or changes in third-party dependencies. You acknowledge that our reports are advisory in nature, and the final implementation and deployment of patched code remain your sole responsibility. In no event shall MKG Labs Ltd be liable for any indirect, consequential, or catastrophic damages arising from the subsequent use or failure of the audited codebase. In no event shall the total aggregate liability of MKG Labs Ltd for any claims arising out of or related to this service exceed the total amount actually paid by you for the specific audit report from which the claim arises.

6. Billing and Refunds

The Service operates on a "Pay Per Audit" model. There are no recurring subscriptions unless explicitly opted-in for continuous retainer services. You are billed a one-time fee based on the lines of code (LOC) limits of your selected tier. Due to the intensive, manual human labor involved in our verification process, payments become strictly non-refundable once the Mutual NDA is signed and the technical audit process begins. Our order process and global checkout infrastructure are securely handled by Whop. Whop acts as the Merchant of Record (MoR) for all our orders, managing secure payment processing, fraud prevention, and global tax compliance on our behalf.

7. Governing Law

These Terms shall be governed and construed in accordance with the laws of England and Wales. MKG Labs Ltd is registered in England and Wales (Company No: 17179813), with its registered office at 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ.
